Proprietary Software License Agreement

1. Introduction
This Proprietary Software License Agreement ("Agreement") is entered into by and between Smart Realty AI ("Licensor") and the user ("Licensee") who downloads, installs, or otherwise uses the Smart Realty AI software ("Software"). By using this Software, Licensee agrees to be bound by the terms of this Agreement.

2. Grant of License
Licensor grants Licensee a non-exclusive, non-transferable, limited license to use the Software solely for personal or business use, subject to the restrictions in this Agreement.

3. Restrictions on Use
Licensee shall not:

· Modify, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.

· Copy, distribute, sell, sublicense, rent, lease, or otherwise transfer the Software to any third party.

· Use the Software to develop any competing software.

· Remove, alter, or obscure any proprietary notices or labels on the Software.

4. Ownership and Intellectual Property
The Software, including but not limited to its code, AI algorithms, design, and functionality, is the exclusive property of Licensor and is protected by copyright, trademark, and trade secret laws. No ownership rights are transferred to the Licensee.

5. Confidentiality
Licensee agrees not to disclose, share, or use any proprietary or confidential information related to the Software, including its AI-based recommendation algorithms and user data processing methodologies.

6. No Open-Source Licensing
The Software is NOT released under an open-source license. Any unauthorized attempt to make the Software open-source or publicly available shall be deemed a breach of this Agreement and subject to legal action.

7. Data Collection & Privacy
The Software may collect and process user data to improve AI-driven property recommendations. Such data will be handled according to Licensor’s privacy policy, and Licensee agrees to the collection and usage of such data.

8. Termination
This Agreement shall remain in effect until terminated. Licensor may terminate this Agreement at any time if Licensee fails to comply with its terms. Upon termination, Licensee must cease all use of the Software and delete any copies in possession.

9. Disclaimer of Warranties
The Software is provided "as is" without warranties of any kind, either express or implied. Licensor disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability
In no event shall Licensor be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities, arising from the use or inability to use the Software.

11. Governing Law
This Agreement shall be governed and interpreted under the laws of the State of [Your State], United States, without regard to conflict of law principles.

12. Enforcement & Legal Remedies
Any unauthorized use or violation of this Agreement may result in legal action, including but not limited to claims for damages, injunctions, and criminal prosecution under applicable intellectual property laws.

13. Miscellaneous

· This Agreement constitutes the entire understanding between the parties.

· No modification to this Agreement shall be valid unless in writing and signed by both parties.

· If any provision of this Agreement is deemed invalid, the remaining provisions shall remain in full force and effect.

By using the Software, the Licensee acknowledges having read and agreed to all the terms and conditions stated in this Proprietary Software License Agreement.
